Terms
1.1. Thank you from the bottom of our hearts for considering a website designed by Prado Pixels. It is both humbling and fulfilling to have an opportunity to make a difference in your organization and to contribute in some small way to your success. At Prado Pixels, we strive to fulfill your needs and meet your expectations. To ensure a smooth and clear understanding of our partnership, we have outlined a few simple terms and conditions. These terms are designed to clarify our mutual responsibilities and what happens if something goes wrong. Our goal is to keep things straightforward and transparent for the safety and benefit of both parties, now and in the future.
1.2. These terms (“Terms”) outline the rules and regulations for the use of Prado Pixels’ website design and development services. By purchasing our services, you accept these Terms in full.
2.1. Prado Pixels will fulfill the design, development, and maintenance of the website within the selected package scope and timeline, with the client participating through material provision, feedback, and payment of the agreed monthly rate.
3.1. As our client, you have the power and ability to enter into a contract on behalf of yourself, or your company or organization.
3.2. The contract is non-transferable without permission and remains in effect without renewal.
4.1. You agree to provide us with everything that we need to complete the project including copy (text), images, videos, and other information as and when we need it, and in the format that we specify. Stock photo recommendations and free stock usage are included. Special graphic design and editing are out-of-scope and will be quoted separately.
4.2. You also agree to review our work, provide feedback, and sign off for approval in a timely manner. Meeting deadlines is a shared responsibility, so we’ll both commit to honoring the dates we set together. You also agree to stick to the payment schedule set by the agreement.
5.1. We possess the expertise to deliver our services professionally and promptly. While we aim to meet all agreed deadlines, we cannot be held accountable for missed launch dates or deadlines if delays are caused by late provision of materials or approvals from your end.
5.2. On top of this, we will also carefully maintain the confidentiality of any information that you provide to us.
6.1. Prado Pixels will design and develop a custom website according to your needs as per the agreed-upon package specifications and timeline.
6.2. While our standard development scope covers a wide range of features, you may occasionally request additional functionalities that fall outside a package’s scope. Examples include but are not limited to, premium paid plugins, complex directories, extensive custom coding, or any project requiring more than the included one (1) hour of site maintenance per month—unless upgraded to biweekly or weekly updates for an additional fee.
6.3. For any such requests, we will provide an estimate of the additional costs and will proceed only after receiving your approval and ensuring you fully understand the reasons for the additional expenses.
6.4. Clients are entitled to up to one (1) hour per month for requested updates or changes, provided at no additional cost throughout the duration of their contract. Upgrades to biweekly or weekly updates are available for an additional fee.
6.5. Your website will be created with the intent of making it attractive and understandable both to customers and search engines. Any copy created will be geared towards specific industry keywords, and the site will include the necessary metadata to properly present your website to search engines such as Google, Bing, and Yahoo.
6.6. To safeguard against potential security events that could render your website unusable, we conduct a weekly backup of your website. This ensures that we can restore your site to a similar state if necessary. Additionally, we perform manual backups after major site changes to maintain a consistent experience for your visitors.
6.7. We install a robust security suite, including a firewall and intrusion monitoring, to safeguard your website against evolving threats such as viruses, malware, and brute-force intrusions. This proactive system continuously scans and monitors your site, alerting us immediately to any detected issues requiring attention. To ensure your website remains functional and secure, we conduct both manual and automatic security and performance updates on a weekly basis. Plugin updates are carefully verified to prevent any negative impact on site functionality.
6.8. A weekly backup routine is implemented to safeguard against potential security incidents. These backups enable us to restore your site to a similar state in the event of a security breach. Additionally, manual backups are performed after significant site changes to ensure consistency and provide a seamless experience for your visitors.
6.9. As design trends evolve and business objectives shift over time, it’s important to keep your website current and aligned with your goals. To accommodate these changes, the agreement includes provisions for a comprehensive refresh or redesign every 48 months at no extra cost. This periodic update presents an excellent opportunity to incorporate new business ideas, goals, and products into your website. Additionally, it allows for the enhancement of various visual elements to ensure your site remains engaging and relevant. Please note that the quadrennial touch-up or redesign is contingent upon maintaining an active 48-month plan.
7.1. The agreement covers the creation of up to one page and does not include a content management system (CMS) or ECommerce store.
7.2. Your website will be launched within four weeks of contract signing and receipt of the initial payment, following a maximum of three revisions.
8.1. This agreement covers the creation of up to five pages and does not include a content management system (CMS) or ECommerce store. Additionally, you’ll receive a social media “Link In Bio” page along with a form capable of handling up to 100 submissions per month.
8.2. Your website will be launched within four to six weeks of contract signing and receipt of the initial payment, following a maximum of three revisions.
9.1. This agreement covers the creation of up to 25 pages and and allows for up to 1,000 CMS items and does not include an ECommerce store. Additionally, you’ll receive a social media “Link In Bio” page along with a form capable of handling up to 500 submissions per month.
9.2. Unless otherwise requested and agreed upon, we will not be responsible for writing any blog copy. We will proofread and insert any text copy that you have provided in order to complete the website, but will not be responsible for the proofreading or creation of any ongoing blog content. We will insert written blog content as requested each month under the terms of the one (1) hour monthly maintenance allowance. If you require writing assistance, we’ll be happy to help, and will gladly quote services as needed for blog copywriting or content input.
9.3. Your website will be launched within six to eight weeks of contract signing and receipt of the initial payment, following a maximum of three revisions.
10.1. This agreement covers the creation of up to 50 pages for an online store and allows for up to 2,000 CMS items and 500 ECommerce items. Please note that product payments may incur percentage-based and fixed transaction fees imposed by the selected payment processor. The feature will be implemented using SureCart software, which supports various payment processors, including Stripe, PayPal, Mollie, and Paystack. Typical processing fees range from 1.9% to 3.5% of the transaction amount, plus a fixed fee, generally between $0.00 and $0.49 per transaction. The specific fee structure and choice of payment processor will be determined and confirmed with you during the Create phase of the project, before the donation form is applied. Additionally, you’ll receive a social media “Link In Bio” page along with a form capable of handling up to 1,000 submissions per month.
10.2. Your website will be launched within six to ten weeks of contract signing and receipt of the initial payment, following a maximum of three revisions.
11.1. Your website will be designed using a variety of technologies and techniques to ensure a robust and highly customizable product. These include WordPress (with a blank theme and front-end page builder), HTML, CSS, PHP, and more. Our services exclusively utilize the WordPress platform, which has been recognized as a proven and trusted industry standard for many years.
11.2. If you are not already signed up with a web host and would prefer to use ours, we invite you to do so at no extra charge. If you would like to migrate after your current hosting contract expires, we will be happy to do that free of charge. It’s important to note that we aren’t a web hosting company, so we don’t provide technical support for hosting-related issues or email services. However, rest assured that we prioritize integrity and will always strive to ensure your website remains accessible. After all, our own website is hosted there too, so we’re equally invested in maintaining smooth operations!
12.1. The timeline for completing your website will vary depending on the selected package, but we aim to have a finished product ready to go live within a specified period from the date of contract signing. Our primary goal is to deliver a high-quality, engaging website that your organization can be proud of. To achieve this, our development process follows four key steps: Connect, Create, Critique, and Care.
12.2. During this process, we will maintain open and regular communication. You can expect to hear from us at least once per week throughout the initial design and development of your site. Your feedback will be actively sought at each stage, and we encourage you to ask any questions you may have, regardless of how small they may seem.
12.3. Once the initial build phase is completed and approved, both parties will sign an additional agreement to signify the beginning of the management (Care) phase of your website project.
13.1. While we anticipate a long and productive relationship between our organizations, there may come a time when our business goals diverge, or we are no longer a suitable match. We acknowledge this possibility and are committed to treating you and your organization fairly. We ask for the same consideration in return. To address this, our agreement operates similarly to a lease. After 24 months, you have the option to discontinue your monthly payments if you feel that the value provided has not met your expectations. However, we are confident in our services and believe you will continue to enjoy a high level of service for years to come.
13.2. At the end of the 24-month period, it is your responsibility to terminate the agreement if you choose to discontinue payments. If you do not terminate, the agreement will continue automatically.
13.3. Upon termination, all ongoing package benefits will cease, and any further work will be billed at the current hourly rate on an ad-hoc basis.
13.4. If you decide to terminate before the end of the 24-month term, your final bill will include the prorated amount needed to satisfy the remaining term.
13.5. Prado Pixels reserves the right to cancel this agreement at any time if necessary. In such an event, we will provide a 30-day notice to give you ample time to find a new service provider. If we terminate the contract, you will not be required to fulfill the remaining lease term.
14.1. Payments will be processed through SureCart subscriptions using Stripe payments on a monthly basis.
14.2. Payment will be due each month on Net 15 terms, meaning you will have 15 days from the date of invoice to pay the invoice that month.
15.1. With our plans, you will gain full ownership of your website after completing 24 months of payments. At that point, if you decide to discontinue monthly content updates, you may choose to end your management plan, and we will transfer the website code to you. You will own all graphics and visual elements created for your project. During the transfer of ownership, we will provide you with a copy of these files. It is your responsibility to store them securely, as we are not obligated to retain them or provide any native source files used in their creation. Additionally, you will retain ownership of all text content, photographs, and other data you provided, unless they are owned by a third party.
15.2. We take pride in our work and enjoy sharing our knowledge and expertise. Therefore, we reserve the right to display and link to your completed project as part of our portfolio and to discuss the project in various media, including websites, magazine articles, and books about web design. Additionally, we reserve the right to include a small text link in the footer of your website that reads: “Designed & Managed by Prado Pixels.”
16.1. Prado Pixels retains the right to refuse service for any reason deemed appropriate, including but not limited to requests for content or services of a sexual nature, illegal or promote illegal activities, unethical or morally objectionable, or any other reason deemed appropriate by the Prado Pixels in its sole discretion.
17.1. We cannot guarantee that the functions contained in any web page templates or completed websites will always be error-free. In no event shall Prado Pixels be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of the service or resulting from occasional “downtime” or other technical problems related to the website hosting, whether caused by the Prado Pixels, the client, or by broader Internet problems beyond anyone’s control.
17.2. If any provision of this agreement is found to be unlawful, void, or unenforceable, that provision will be deemed severable from this agreement and will not affect the validity and enforceability of the remaining provisions.
18.1. By engaging Prado Pixels, you acknowledge that you have read, understood, and agreed to these terms and conditions. The contract is legally binding under the jurisdiction of United States courts.
